Terms of Service
Plain-language summary (not a substitute for the full Terms below).
PineX is a software tool that watches a trading strategy you choose and routes the
resulting orders through your TradingView Desktop app. PineX does not provide investment advice, does not
custody funds, does not connect to your broker, does not execute trades, and does not guarantee any
outcome. You are solely responsible for every trade placed through your connected broker.
By installing, accessing, or using PineX, you accept these Terms in full.
If you do not agree, do not install or use PineX.
Important: these Terms contain a binding arbitration clause and class
action waiver that limits how disputes between you and us can be resolved. You have 30 days
from your first use of PineX to opt out of arbitration.
1. Acceptance and Eligibility
These Terms of Service ("Terms") are a binding legal agreement between you ("you", "your", or "User") and c21eservices LLC, a New Jersey limited liability company, the operator of pinex.c21eservices.com and the publisher of the PineX desktop application ("PineX", "we", "us", or "our").
By installing, launching, accessing, or otherwise using PineX, you confirm that:
- You are at least 18 years old and have the legal capacity to enter into binding contracts in your jurisdiction;
- You are not a person barred from receiving the service under the laws of the United States or any other applicable jurisdiction;
- You have read, understood, and accept these Terms, the Privacy Policy, and the Risk Disclosure;
- If you accept these Terms on behalf of a legal entity, you have authority to bind that entity.
2. Definitions
- "Service" means the PineX desktop application, the website at pinex.c21eservices.com, and any related software, APIs, documentation, or features we provide.
- "Account" means your registered user account, created when you sign in to the Service via OAuth (Google) or email.
- "Subscription" means a paid plan tier (Basic, Premium, or Max) billed through Stripe.
- "Pine Script" or "Strategy" means a trading script you have loaded in TradingView Desktop, written by you or a third party.
- "Signal" means a buy or sell trigger emitted by your Strategy.
- "Broker" means the third-party brokerage account you have connected to TradingView Desktop, which receives orders triggered by Signals.
3. License Grant
Subject to your continued compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use one copy of PineX on devices you own or control, solely for your personal or internal business use, and solely while your Account is in good standing. All rights not expressly granted are reserved by us.
Free-tier users receive this license without payment. Subscribers receive additional functionality commensurate with their plan tier for the duration of their paid subscription.
4. What PineX Is and Is Not
PineX is a desktop software tool that:
- Reads the output of a Pine Script Strategy you have loaded in TradingView Desktop;
- Detects entry and exit signals from that Strategy;
- Routes each detected signal to TradingView Desktop so it places a market order through your already-connected broker;
- Logs each detected and routed signal locally on your machine for your reference.
PineX IS NOT: an investment adviser, broker-dealer, futures commission merchant, introducing broker, money services business, financial planner, portfolio manager, signal provider, trade-execution venue, custodian of funds, payment processor, or fiduciary. PineX does not:
- Recommend any security, derivative, cryptocurrency, commodity, or other instrument;
- Recommend any Pine Script or Strategy;
- Evaluate whether any Strategy is appropriate for you, your risk tolerance, or your circumstances;
- Promise or imply any level of performance, profit, or any specific outcome;
- Verify or audit the correctness, profitability, or safety of any Pine Script;
- Hold, custody, transmit, or have access to your funds or securities;
- Connect to or communicate with your Broker; the connection from TradingView to your Broker is established and managed by you and TradingView, not by us.
NOTHING IN THE SERVICE, INCLUDING ANY MARKETING MATERIAL, DOCUMENTATION, BLOG POST, EMAIL, SOCIAL MEDIA POST, OR COMMUNICATION FROM US, CONSTITUTES FINANCIAL, INVESTMENT, LEGAL, ACCOUNTING, OR TAX ADVICE. Before making any trading decision, consult licensed professionals who are familiar with your specific financial situation and goals.
5. Account Registration and Security
To use paid features you must register an Account. You agree to provide accurate, current, and complete information at registration and to keep it accurate. You are responsible for:
- Maintaining the confidentiality of your Account credentials (Google account, email, password);
- All activity that occurs under your Account, whether or not authorized by you;
- Notifying us immediately at pinex.support@c21eservices.com if you suspect any unauthorized access.
We may suspend or terminate your Account if we discover the information you provided is false, outdated, or incomplete.
6. Subscriptions, Billing, Cancellation, and Refunds
PineX offers a free tier and three paid tiers (Basic, Premium, Max). Paid plans are billed by Stripe, Inc. in advance on the cadence you select (monthly or annual). Subscriptions renew automatically at the then-current rate until you cancel.
You may cancel from the in-app Account tab at any time. Cancellation takes effect at the end of your current billing period; you retain paid-tier access until then. Because PineX is a digital service made immediately available, all payments are non-refundable except where required by applicable law. If you are a consumer resident in the EU, EEA, or UK, you have a 14-day right of withdrawal after your paid subscription begins, as described in our Refund Policy. If you believe you were billed in error, contact pinex.support@c21eservices.com within 30 days and we will review in good faith.
We may modify subscription pricing or plan features upon at least 30 days' prior notice via the in-app Account tab and the website. Continued use after such notice constitutes acceptance.
7. Acceptable Use
You agree not to, and not to permit any third party to:
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code, structure, or algorithms of PineX, except to the extent expressly permitted by mandatory law notwithstanding this prohibition;
- Modify, adapt, translate, or create derivative works of PineX;
- Remove, alter, or obscure any proprietary notice, label, trademark, or branding;
- Resell, sublicense, white-label, lease, rent, or otherwise commercially exploit PineX without our prior written consent;
- Use PineX in violation of TradingView's Terms of Service, your Broker's customer agreement, the rules of any exchange or trading venue, or any applicable law or regulation;
- Use PineX to engage in market manipulation, spoofing, layering, wash trading, front-running, or any other prohibited trading practice;
- Use PineX to place trades on accounts you are not authorized to trade on;
- Interfere with the operation of PineX, our servers, our backend, or other users' use of the Service (including via denial-of-service, automated scraping at unreasonable rates, or exploitation of vulnerabilities);
- Share, transfer, or otherwise make your Account credentials available to any third party;
- Use the Service in any way that violates applicable export controls or sanctions law.
Violation of this section is grounds for immediate suspension or termination of your Account without refund, and may expose you to civil or criminal liability.
8. Third-Party Services
PineX depends on third-party services that we do not control:
- TradingView Desktop — for chart data, Pine Script execution, and order routing to your Broker. TradingView is operated by TradingView, Inc. Your use of TradingView is governed by their Terms of Use. PineX communicates with TradingView Desktop locally via the Chrome DevTools Protocol (a standard Chromium debug interface).
- Your Broker — for accepting, routing, and filling orders. Your relationship with your Broker is governed by your customer agreement with them.
- Supabase — provides our database and authentication infrastructure.
- Stripe, Inc. — processes subscription payments.
- Google LLC — provides OAuth-based sign-in.
- Cloudflare, Inc. — hosts our website and provides CDN and DNS services.
- Resend, Loops, and similar email vendors — deliver transactional and (with your consent) marketing email.
We are not responsible for the availability, performance, accuracy, or actions of any third-party service. If TradingView goes down, your Broker rejects an order, your internet connection drops, your computer enters sleep mode, the Chrome DevTools Protocol channel disconnects, or any other third-party event prevents a Signal from being detected or fired, PineX has no obligation or ability to remedy it.
9. User Content and Feedback
You retain ownership of any Pine Scripts, Strategies, or other content you create or load into TradingView. PineX does not transmit your Pine Scripts, your trade history, your Broker credentials, your chart data, or your strategy logic to any server we operate; that data stays on your machine.
Any feedback, suggestions, bug reports, feature requests, or other communications you submit to us — whether via the in-app feedback prompt, email, social media, or any other channel — become our property without obligation of confidentiality, attribution, or compensation. You hereby grant us an irrevocable, perpetual, worldwide, royalty-free, sublicensable license to use, reproduce, modify, publish, distribute, and incorporate such feedback into the Service or any other product or service of ours.
10. Intellectual Property
All right, title, and interest in and to PineX, including all software, source code, designs, graphics, text, logos, trademarks, trade dress, and documentation, are owned by us or our licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws. Nothing in these Terms transfers ownership of any of the foregoing to you. The "PineX" name and logo are our trademarks.
11. Risk Acknowledgement
You acknowledge that trading involves substantial risk of loss and that you may lose all of your invested capital — and, in leveraged products, more than your invested capital. You have read, understood, and accept the Risk Disclosure, which is incorporated into these Terms by reference.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
WITHOUT LIMITING THE FOREGOING, WE MAKE NO WARRANTY THAT THE SERVICE WILL:
- Detect every Signal emitted by your Strategy;
- Fire every order on time, on the intended symbol, or at all;
- Avoid firing unintended orders (including those caused by re-emitted historical Signals after a TradingView reload);
- Achieve any specific financial outcome, profit level, or risk profile;
- Operate without bugs, defects, or interruptions;
- Be compatible with future versions of TradingView Desktop, your operating system, or any third-party software.
You assume all risk arising from your use of the Service. No advice or information, whether oral or written, obtained from us shall create any warranty not expressly stated in these Terms.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE, OUR OPERATORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, OR AFFILIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST TRADING OPPORTUNITIES, MISSED TRADES, UNINTENDED TRADES, BROKER ERRORS, EXCHANGE ERRORS, MARGIN CALLS, ACCOUNT LIQUIDATIONS, LOSS OF DATA, LOSS OF GOODWILL, OR LOSS OF BUSINESS, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100).
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. To the extent such laws apply, some of the limitations in this section may not apply to you, and our liability shall be limited to the maximum extent permitted by law.
14. Indemnification
You agree to defend, indemnify, and hold us, our operators, officers, employees, agents, contractors, and affiliates harmless from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
- Your use of, or inability to use, the Service;
- Your violation of these Terms or any applicable law;
- Your violation of any right of any third party, including without limitation your Broker, TradingView, any exchange, any counterparty to a trade, or any holder of intellectual property;
- Any trade placed via PineX (including unintended trades, missed trades, or trades that violated your Broker's rules);
- Any content you submit, transmit, or display through the Service.
This indemnification does not require you to indemnify us for losses to the extent they are finally determined to have resulted from our own gross negligence or willful misconduct.
We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense.
15. Suspension and Termination
We may suspend or terminate your Account or your access to the Service at any time, with or without notice, and with or without cause, including without limitation if we believe you have:
- Violated any provision of these Terms;
- Engaged in any conduct that exposes us, other Users, or any third party to legal, financial, regulatory, or reputational risk;
- Failed to pay any amount when due;
- Misrepresented information provided to us;
- Used the Service in a manner inconsistent with its intended purpose.
Upon termination, your license to use the Service immediately ends, but the provisions of Sections 9–14 and 18–21 survive.
You may terminate by uninstalling PineX from your devices and canceling any active subscription from the in-app Account tab. To request deletion of your Account data, email pinex.support@c21eservices.com.
16. Modifications to These Terms
We may modify these Terms from time to time. Material changes will be announced via the in-app Account tab and the pinex.c21eservices.com website at least 30 days before taking effect, except where a shorter period is required by law or by the change itself (e.g., to address an active security incident). Continued use of the Service after the effective date constitutes your acceptance of the modified Terms. If you do not agree, you must stop using the Service before the effective date.
17. Force Majeure
We shall not be liable for any failure or delay in performance under these Terms to the extent the failure or delay is caused by events beyond our reasonable control, including without limitation acts of God, natural disasters, war, terrorism, riots, civil unrest, governmental action, labor disputes, internet or telecommunications outages, third-party service outages (including without limitation TradingView, Supabase, Stripe, Google, Cloudflare, exchange or broker outages), cyberattacks, or pandemic.
18. Mandatory Binding Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
18.1 Agreement to Arbitrate. You and we agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or our relationship with you, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory (collectively, "Disputes"), shall be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, except as modified below. The Federal Arbitration Act governs the interpretation and enforcement of this section.
18.2 Exceptions. The following Disputes are not subject to mandatory arbitration: (a) claims brought in small claims court that qualify for that forum and remain in that forum; (b) claims to enforce, protect, or seek injunctive relief regarding intellectual property rights.
18.3 Class Action Waiver. YOU AND WE EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY AWARD ONLY INDIVIDUAL RELIEF AND MAY NOT AWARD ANY FORM OF CLASS, CONSOLIDATED, OR REPRESENTATIVE RELIEF. If this Class Action Waiver is held unenforceable, then the entirety of this Section 18 shall be null and void with respect to the affected claim only.
18.4 Opt-Out. You may opt out of this arbitration agreement by sending a written notice to pinex.support@c21eservices.com with the subject line "Arbitration Opt-Out" within thirty (30) days of your first use of the Service. Your notice must include your full name, email address associated with your Account, and a clear statement that you wish to opt out of arbitration. Opting out does not affect any other provision of these Terms.
18.5 Costs. The AAA's rules govern the allocation of arbitration costs. We will reimburse any arbitration filing fee you pay that exceeds the cost of filing a comparable civil action in court, provided your claim is non-frivolous.
18.6 Location. Arbitration shall be conducted in the county of Mercer County, New Jersey, or, at your option if you reside in the United States, in your home state. For claims under USD $25,000, arbitration may be conducted entirely by telephone or video conference unless the arbitrator orders otherwise.
19. Governing Law
These Terms are governed by and construed under the laws of the State of New Jersey, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Subject to Section 18, you and we consent to the exclusive jurisdiction and venue of the state and federal courts located in Mercer County, New Jersey, for any action not subject to mandatory arbitration.
20. Miscellaneous
Entire Agreement. These Terms (together with the Privacy Policy and Risk Disclosure) constitute the entire agreement between you and us regarding the Service and supersede all prior or contemporaneous understandings.
Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid provision shall be reformed to the minimum extent necessary to make it enforceable.
No Waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
Assignment. You may not assign or transfer these Terms or your Account, by operation of law or otherwise, without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.
Notices. We may provide notice to you via the in-app Account tab, the website, or to the email address associated with your Account. You may provide notice to us via pinex.support@c21eservices.com.
Headings. Section headings are for convenience only and do not affect interpretation.
No Third-Party Beneficiaries. These Terms are for your benefit and ours; no third party has rights under them.
